Terms of Service

1. Acceptance of Terms

By signing up for, accessing, or using our services, you agree to be bound by these Terms. If you are entering into these Terms on behalf of a business entity, you represent that you have authority to bind that entity.

2. Service Description

We provide a managed website subscription service that includes website design, hosting, deployment, maintenance, updates, and support (the "Service"). The Service is delivered as a website-as-a-service model. Unless separately agreed in writing, the Service is ongoing and subscription-based rather than a one-time transfer of software ownership.

3. Subscription Fees and Payment Terms

You agree to pay recurring monthly subscription fees for the selected plan:

• Basic: $199/month
• Signature: $399/month
• Advanced: $599/month

Monthly fees are billed in advance and are due on the same calendar day each month based on your subscription start date. All fees are non-refundable except as required by law or as otherwise stated in a written agreement.

You authorize us (or our payment processor) to charge your payment method on a recurring basis. You are responsible for maintaining valid payment information and for all applicable taxes, duties, or government charges.

4. Onboarding Fees

Depending on your chosen onboarding option, the following one-time onboarding fees apply:

• As-Is Launch: $0
• Limited Revisions: $1,499
• Custom Design: $4,999

Onboarding fees, when applicable, are due as agreed during onboarding and are separate from monthly subscription fees.

5. Ownership and Intellectual Property

Unless and until a separate codebase purchase is completed under Section 7, all website code, templates, software components, tooling, automation workflows, and related intellectual property created or used to provide the Service remain the sole property of getlogiq.ai. No ownership rights are transferred to you by default.

You retain ownership of your pre-existing trademarks, logos, and content you provide to us ("Client Content"). You grant us a non-exclusive license to host, reproduce, modify, and display Client Content solely to provide and improve the Service.

6. Non-Payment and Service Suspension / Termination

If payment is not received when due, we may suspend access to the Service, including taking your website offline. If payment remains outstanding, we may terminate the Service and remove hosted site infrastructure and services.

You acknowledge and agree that continued hosting and operation of your website is contingent on active payment of subscription fees.

7. Optional Codebase Purchase

You may request to purchase your website codebase for a one-time fee of $1,000 per page. This option may be exercised either (a) during active service, or (b) at or around termination, subject to full payment of all outstanding charges.

For pricing purposes, "page" means a distinct URL-level page template or unique page implementation in the delivered website. Upon confirmed payment, ownership and assignment details will be documented in a separate written transfer instrument.

8. Acceptable Use

You may not use the Service for unlawful, infringing, fraudulent, abusive, or harmful activity, including distribution of malware, phishing, spam, or content that violates applicable law or third-party rights.

9. Warranties Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL GETLOGIQ.AI OR ITS OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, OR BUSINESS INTERRUPTION.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU TO US DURING THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless getlogiq.ai, its affiliates, officers, directors, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your Client Content, or your violation of these Terms or applicable law.

12. Term and Termination

These Terms remain in effect while you use the Service. Either party may terminate the Service in accordance with any written agreement or by discontinuing service at the next billing cycle, subject to outstanding obligations.

On termination, your right to use the Service ends, and hosted infrastructure may be decommissioned unless otherwise required by law or separately agreed in writing.

13. Governing Law and Venue

These Terms are governed by the laws of the State of Colorado, without regard to conflict of law principles. Any dispute arising under these Terms will be brought exclusively in the state or federal courts located in Colorado, and each party consents to the personal jurisdiction and venue of those courts.

14. Changes to These Terms

We may update these Terms from time to time. Updated Terms will be effective when posted to this page with a revised "Last updated" date. Your continued use of the Service after updates become effective constitutes acceptance of the revised Terms.
